L' <br />CD <br />INSURANCES 0 r dLE <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: 5 —,�q-oS <br />pizCS <br />A-2005-014 <br />LICENSE AGREEMENT TO PROVIDE <br />CARNIVALS AT CITY PARKS <br />BETWEEN <br />THE CITY OF SANTA ANA <br />AND <br />FIESTA DE CARNIVAL <br />THIS LICENSE AGREEMENT ("Agreement") is made and entered into this -TLI day <br />of /,k74 V , 2005, by and between the City of Santa Ana, a charter city and <br />municipal/corporation, duly organized and exiting under the constitution and laws of the <br />State of California, herein referred to as "Licensor", and Fiesta De Carnival, herein <br />referred to as "Licensee". <br />RECITALS: <br />A. On November 1, 2004, the City issues a request for proposals for a carnival <br />Licensee to provide carnivals at City owned parks. <br />B. Licensee submitted a proposal to provide services. Licensee represents that <br />Licensee is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Licensee represents that <br />it is knowledgeable in its field and that any services performed by Licensee <br />under this Agreement will be performed in compliance with such standards <br />as may reasonably be expected from a professional carnival Licensee in the <br />field. <br />D. The City of Santa Ana desires to provide "Carnivals" in various Santa Ana <br />parks, and desires to contract for such services with Licensee represents <br />that it is qualified to provide such services to City. <br />E. In undertaking the performance of this Agreement, Licensee represents <br />that it is knowledgeable in its field and that any service performed under <br />this Agreement will be performed in compliance with all City, County, <br />and State and Federal laws, regulations and licenses requirements. <br />NOW THEREFORE, in consideration of the respective and mutual covenants and <br />promises hereinafter contained and made, and subject to all terms and conditions hereof, <br />the parties hereto agree as follows: <br />
