This Hold Harmless Agreement is intended to supersede any other language concerning the subject of this Hold Harmless Agreement which has been previously, contemporaneously, or subsequently signed by any employee, officer or director of the Girl Scout Council of Orange County ("GSCOC") concerning the subject of this Hold Harmless Agreement. In consideration for the permission from City of Santa Ana Parks Recreation and Community Services Agency (Name of Agency) ("Indemnitee') for the use of its facilities from January — December 2007, identified as (Facility GSCOC agrees to indemnify, defend and hold harmless Indemnitee from all costs, losses, claims, demands, suits, actions, payments and judgments arising from personal injuries, property damage or other claims arising out of the negligence or other misconduct of GSCOC in connection with its use of Indemnitee's facilities identified herein, together with such other incidental activities taking place at the facility. Upon request, GSCOC shall provide evidence of its insurance including, if requested, evidence of Indemnitee's status as an additional insured. Nothing herein shall be construed as a waiver of GSCOC's rights with respect to comparative indemnity, contribution, comparative fault or similar such claims against individual or entity whose negligence or misconduct relates to a claim arising out of GSCOC's use of Indemnitee's facilities.
