ij o i — i7L & <br />41 <br />FIRST AMENDMENT TO CONSULTANT AGREEMENT <br />THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into <br />on November 21, 2003, by and between HNTB Corporation, a Delaware corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br />Recitals: <br />A. The parties entered into Agreement #A-2001-170B, dated August 20, 2001, <br />(hereinafter "said Agreement") by which Consultant has prepared construction <br />documents for the City's Public Works and Parks Agencies. <br />B. Said Agreement was extended by letter, dated June 21, 2002. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the Agreement for an additional one year period. <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Consultant Agreement, the parties agree as follows: <br />1. Section 3, TERM, shall be amended to read as follows: <br />"This Agreement shall commence on August 20, 2001 and terminate on August 31, <br />2004, unless terminated earlier in accordance with Section 12, below.
