LiB <br />(5 C~va.s) <br /> <br />THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT, is entered <br />into on September 20, 2004, by and between Lectorum Publications, Inc. ("Consultant") <br />and the City of Santa Ana, a charter city and municipal corporation of the State of <br />California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement A-2002-149, dated July 1,2002, (hereinafter <br />"said Agreement") by which Consultant has supplied, cataloged and processed <br />Spanish language youth materials_ <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional one-year period and to increase compensation <br />to pay for the services during the extended term. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />I. Section 2.a, COMPENSA nON, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A to said Agreement. The total sum to be <br />expended under said Agreement shall not exceed $65,000 during the 2004-05 fiscal <br />year." <br /> <br />2. Section 3, TERM, shall be extended for an additional one year, from July 1,2004 <br />through June 30, 2005. <br /> <br />3. Except as hereinabove amended all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />
