S A-200S-on D.li(?!: Lt~ FIRST AMENDMENT TO CONSUL T ANT AGREEMENT THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on May 2, 2005, by and between Occupational Safety Training Systems, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation ofthe State of California ("City"). Recitals: A. The parties entered into Consultant Agreement N-2005-042, dated April 20, 2005, (hereinafter "said Agreement") by which Consultant has provided safety certification for Public Crane Operators. B. In accordance with the terms and conditions of said Agreement, the parties wish to increase the compensation to pay for additional services provided by Consultant. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall provide a Certification of Crane Operators Preparation class to prepare City employees who operate a crane to take the mandatory written and practical tests for crane operators, as set forth in Exhibit A, attached to said Agreement." 2. Section 2.a., COMPENSA nON, shall be deleted in its entirety and replaced with the following: "a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A. The total sum to be expended under this Agreement shall not exceed $13,234.00 during the term of this Agreement." 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
