SITE LEASE THIS SITE LEASE (this "Site Lease"), dated as of , 2005, is by and between the CITY OF SANTA ANA, a municipal corporation and chartered city duly organized and existing under and by virtue of the laws of the State of California (the "City"), as lessor, and the SANTA ANA FINANCING AUTHORITY, a joint exercise of powers authority duly organized and existing under and by virtue of the laws of the State of California (the" Authority"), as lessee; WITNESSETH: WHEREAS, the Authority intends to assist the City in undertaking the financing of the costs of a parking structure on City-owned property located adjacent to the proposed State Appellate Court Building in Santa Ana, California (the "Improvements"), by leasing certain existing real property and the Improvements to be constructed thereon to the City pursuant to a Lease Agreement, dated as of , 2005 (the "Lease Agreement"); and WHEREAS, the City proposes to enter into this Site Lease with the Authority as a material consideration for the Authority's agreement to lease such real property and the Improvements to the City; NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED, as follows: Section 1. Definitions. Capitalized terms used, but not otherwise defined, in this Site Lease shall have the meanings ascribed to them in the Lease Agreement. Section 2. Site Lease.
