<br />1 COUNTY. <br />2 12.18 COUNTY shall notify CONTRACTOR in writing of changes in the <br />3 insurance requirements. If CONTRACTOR does not deposit copies of acceptable <br />4 certificates of insurance and endorsements with ADMINISTRATOR incorporating <br />5 such changes within thirty (30) days of receipt of such notice, this Agreement <br />6 may be in breach without further noti ce to CONTRACTOR, and COUNTY sha 11 be <br />7 entitled to all legal remedies. <br />8 12.19 The procuri ng of such requi red pol icy or pol i ci es of insurance <br />9 shall not be construed to limit CONTRACTOR's liability hereunder. nor to <br />10 fulfill the indemnification provisions and requirements of this Agreement. <br />11 12.20 The County of Orange Certificate of Insurance and the Special <br />12 Endorsement for the County of Orange can be utilized to verify compliance with <br />13 the above-menti oned insurance requi rements in place of commerci a 1 insurance <br />14 certificates and endorsements. <br />15 12.21 If CONTRACTOR is a governmental entity, CONTRACTOR may self-insure <br />16 for required coverages. <br />17 13. CONFLICT OF INTEREST <br />18 CONTRACTOR shall exercise reasonable care and diligence to prevent any <br />19 actions or conditions that could result in a conflict with the best interests <br />20 of COUNTY. Thi s ob 1 i gat ion shall apply to CONTRACTOR's employees, agents, <br />21 relatives, subcontractors, and third parties associated with accomplishing the <br />22 work hereunder. <br />23 CONTRACTOR's efforts shall include, but not be limited to, establishing <br />24 precautions to prevent its employees or agents from making, receiving, <br />25 providing, or offering gifts, entertainment, payments, loans, or other <br />26 considerations which could be deemed to appear to influence individuals to act <br />27 contrary to the best interests of COUNTY. <br />28 / / / <br /> <br />(WSH0605) <br /> <br />21 of 37 <br /> <br />(March 7. 2005) <br />
