<br />N-2005-084 <br /> <br />. <br /> <br />Ij <br /> <br />GRANT AGREEMENT <br /> <br />Ii '1-;1.1-05" <br /> <br />e.,: e>>'" <br />(J1orO) <br /> <br />This Grant Agreement, made and entered into this 18th day of July, 2005, by and <br />between the City of Santa Ana, a charter City and municipal corporation organized and <br />existing under the Constitution and laws of the State of California, ("City") and the Santa <br />Ana Auto Mall Dealers Association, LLC ("Association"). <br /> <br />RECITALS: <br /> <br />1. City desires to grant to Association general fund money (hereinafter "grant <br />funds"), to use for the maintenance and upkeep of the Santa Ana Auto Mall <br />property. <br /> <br />2. Association agrees to use said grant funds for the upkeep of the Santa Ana <br />Auto Mall, as set forth herein. <br /> <br />WHEREFORE, for and in consideration of the respective and mutual covenants <br />hereinafter contained and made, and subject to all the terms and conditions hereof, the <br />parties hereby agree as follows: <br /> <br />I. ASSOCIATION'S OBLIGATIONS <br /> <br />A. Association agrees to use all grant funds provided by City pursuant to this <br />Agreement to repair and/or maintain the Santa Ana Auto Mall property <br />(hereinafter "said Property"). Said maintenancelrepair may include <br />landscaping and irrigation of said Property. <br /> <br />B. All funds received by Association from City pursuant to this Agreement shall <br />be separately accounted for apart from any other funds of Association. <br />Association shall keep records of grant funds received from City under the <br />terms and conditions of this Agreement. <br /> <br />City shall have access for purposes of monitoring, auditing, and examining <br />Association's performance, to books, documents and papers, and the right <br />to examine records in regard to said grant funds. City and/or its <br />representative may also schedule on-site monitoring at its discretion. <br />Nothing herein shall be construed to require access to any privileged or <br />confidential information as set forth in federal or state law. <br /> <br />C. Association agrees that the performance of obligations hereunder are <br />rendered in its capacity as an independent contractor and that it is in no way <br />an agency of City. <br /> <br />II. CITY'S OBLIGATIONS <br /> <br />City shall pay to the Association grant funds 10 the amount of $10,000.00. <br />Page 1 of 4 <br />
