CLERK OF COUNCIL DATE: g~,;>-oc; A-2005-I53 C C ttto (p.RO<'t'S) FIRST AMENDMENT TO CONSULTANT AGREEMENT THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on June 20, 2005, by and between Townsend Public Affairs, Inc. ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Consultant Agreement A-2004-1 15, dated June 7, 2004, (hereinafter "said Agreement") by which Consultant has provided government liaison services. B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period and to increase compensation to pay for services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 2. a, COMPENSATION, shall be amended to increase total compensation by 25,000.00 by deleting said section in its entirety and replacing it with the following: "a. City agrees to pay, and Consultant agrees to accept as total compensation for its services, including expenses, compensation in the total amount of$25,000.00, annually, to be paid in twelve equal monthly installments. The total amount payable under this Agreement shall not exceed twenty five thousand dollars ($25,000.00), annually, during the term of this agreement." 2. Section 3, TERM, shall be extended for one year, from June 30, 2005 through June 30, 2006. 3. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II
