<br />N-2005-090 <br /> <br />. <br /> <br />li; <br /> <br />j-! 8"-.;t-05 <br /> <br />LICENSE AGREEMENT FOR USE OF OFFICE SPACE <br /> <br />This Agreement ("AGREEMENT") is entered into on this I sf- day of July 2005 by <br />and between Trinity Cristo Rey Lutheran Church, ("LICENSOR") and the City of Santa Ana, a <br />charter City and municipal corporation of the State of California ("LICENSEE"). <br /> <br />RECITALS <br /> <br />(a) LICENSOR is the owner of certain real property located at 902 S. Broadway, in <br />the City of Santa Ana, County of Orange, State of California, hereinafter referred to as <br />"Property". <br /> <br />(b) LICENSOR desires to grant to LICENSEE certain rights to the Property to <br />operate a satellite Work Center site for the Santa Ana Weed and Seed Program. <br /> <br />WHEREFORE, in consideration of the covenants and conditions set forth herein, the parties <br />agree as follows; <br /> <br />I. GRANT OF LICENSE <br /> <br />LICENSOR hereby grants to LICENSEE a license to utilize an unfurnished 8' X 8' office <br />space located on the Property to operate a satellite Work Center site for the Santa Ana Weed & <br />Seed Program (hereinafter 'the Office"). The Office shall be capable of being locked and shall <br />include electricity, access to the bathrooms, and assistance in marketing the presence of the <br />satellite office. <br /> <br />2. LICENSEE'S OBLIGATIONS <br /> <br />LICENSEE shall pay to LICENSOR upon execution of this Agreement, and each July I <br />thereafter, an annual license fee of $1.00. <br /> <br />LICENSEE shall supply one part-time employee to staff the Office. LICENSEE will <br />provide phone and Fax lines, office equipment and office materials necessary to operate the <br />Office. <br /> <br />3. INDEMNITY <br /> <br />LICENSEE shall defend, indemnify and hold harmless LICENSOR from and against all <br />claims, losses, liabilities and expenses incurred by LICENSOR as a result of LICENSEE's sole <br />negligence or omission in its performance of this Agreement. <br /> <br />Page 1 of5 <br />
