For those items which the City is constructing and for which Steadfast is paying <br />the full cost, Steadfast shall pay the City as follows: <br /> <br />a. For Item No.1 ("Install new Traffic Signal"), the City shall provide <br />Steadfast with a final, updated estimate of these costs, if necessary, no later than forty-five (45) <br />days after the Effective Date. Steadfast shall pay the City monies equivalent to the final updated <br />estimate, or if one is not provided the preliminary estimate, sixty (60) days from the Effective <br />Date. <br /> <br />b. For Item No.2 ("Reconstruct Street Pavement") the City shall provide <br />Steadfast with a final, updated estimate of these costs, if necessary, no later than five (5) business <br />days before approval of the first final map. Steadfast shall pay the City monies equivalent to the <br />final updated estimate, or if one is not provided the preliminary estimate, before approval of the <br />first final map for the Project. <br /> <br />c. The City shall complete construction of these items prior to the first <br />certificate of occupancy for the Project. <br /> <br />d. The City' final, updated estimates, or if none is provided by the deadlines <br />set forth above, the preliminary estimates, shall be final and conclusive. <br /> <br />2. For those items which Steadfast is constructing, Steadfast shall complete <br />construction prior to approval of its first final map for the Project; provided, however, that <br />Steadfast shall have the unilateral right to extend this deadline to the first certificate of occupancy <br />for the Project upon execution of the City's standard subdivision improvement agreement to be <br />entered into pursuant to California Government Code 9 66462(a)(I). <br /> <br />Any deadline pursuant to this Exhibit D may be extended by mutual written agreement of <br />Steadfast and the City Manager or designee. <br /> <br />Ordinance NS-2700 <br />Page 41 of41 <br />
