<br />Uti' <br />,,00 <br />,.-:) <br />~ <br />.. , <br />;'" ... <br />~.... <br />. . <br /> <br />~ <br /> <br />-,'I <br />~ <br /> <br />t': fl.", A. <br />o~.-,RtS. <br /> <br /> <br />. <br /> <br />A.2005.252 <br /> <br />SECOND AMENDMENT TO <br />CONSULTANT AGREEMENT <br /> <br />THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered <br />into on October 17, 2005, by and between The Planning Center, a California corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br /> <br />Recitals: <br /> <br />The parties entered into Consultant Agreement N-2005.083, dated June 24, 2005, <br />(hereinafter "said Agreement") by which Consultant has provided public meeting <br />facilitation services for Planning related matters. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />Amend the Scope of Services to provide for additional services, and amend the <br />Compensation to pay for the additional services. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this Second <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />1. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with <br />the following: <br /> <br />"Consultant shall provide meeting facilitation services for a minimum of four Santa <br />Ana River Task Force meetings and for various meetings of the Planning and Building <br />Agency related to development planning issues, as requested by City." <br /> <br />2. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the amounts identified in Exhibits A and A. I to said Agreement The total fee for the <br />Santa Ana Task Force meetings shall not exceed $9,500.00. The fee for additional <br />services provided to the Planning and Building Agency shall be agreed between <br />Consultant and the Executive Director of Planning and Building, in writing, prior to <br />Consultant providing those services. The total sum to be expended pursuant to said <br />Agreement shall not exceed $30,000 during the term of said Agreement" <br /> <br />3. Section 3, TERM, shall be extended from December 31,2005 through December 31, <br />2006. <br /> <br />4. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect <br />
