<br />effectively terminated for any reason upon 30 days written notification, with the distribution of <br />funds made to for public, educational, and community and/or charitable purposes benefiting <br />Santa Ana Parks. <br /> <br />4. Reporting. The Foundation will provide reports to the City periodically. As part of <br />its regularly scheduled distribution of statements, the Community Foundation will provide the <br />City with detailed reports insofar as they relate to the money or property transferred to the <br />Foundation and distributed by the Foundation On behalf of the Santa Ana Parks, Recreation & <br />Community Services Agency as well as the annual audit of the Foundation. <br /> <br />S. Advisorv Committee. The Executive Director of Santa Ana's Parks, Recreation, <br />and Community Services Agency will advise OCCF on the distribution for City parks-related <br />projects in accordance with the Advised Policies and Procedures of the Community Foundation, <br />as the same may be amended from time to time by the Board of Governors, the terms of which <br />are incorporated herein by reference. If no advisors are able and willing to act, the Community <br />Foundation shall make decisions without advisors. As required by Intemal Revenue Service <br />regulations, the Board of Governors must retain final authority and responsibility for determining <br />distributions from the Fund. <br /> <br />6. Conflict of Interest. OCCF covenants that it presently has no interests and shall not <br />have interests, direct or indirect, which would conflict in any manner with performance of <br />services specified under this Agreement. <br /> <br />7. Notice. Any notice, tender, demand, delivery, or other communication pursuant to <br />this Agreement shall be in writing and shall be deemed to be properly given if delivered in <br />person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other <br />telegraphic communication in the manner provided in this Section, to the following persons: <br /> <br />To City: <br /> <br />Clerk of the City Council <br />City of Santa Ana <br />20 Civic Center Plaza (M-30) <br />P.O.
