.~ <br />INSURANCE ON FILE <br />VaORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />Of" 9C~ O[ <br />CLERK OF COUNCIL <br />THIRD AMENDMENT TO AGREEMENT <br />A-2005-269 <br />DATE: ~_s'-v~ THIS THIRD AMENDMENT TO LIBRARY • SOLUTION INTEGRATED <br />LIBRARY SYSTEM AGREEMENT FOR SANTA ANA PUBLIC LIBRARY <br />("Amendment") made and entered into this 21 s~ day of November, 2005, by and between <br />The Library Corporation, Inc., a corporation organized under the laws of the State of <br />Maryland, (`'TLC") and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and the laws of the State of California <br />("City'). <br />RECITALS: <br />A. On December 3, 2001, the parties entered into Agreement # A-2001-238, <br />(hereinafter "said Agreement") by which TLC has provided a library automation <br />system for City. <br />B. The Parties now desire to amend said Agreement to increase the <br />compensation to pay for database subscription service and maintenance in an <br />amount not to exceed $60,000.00, increasing the total amount of said Agreement <br />to $320,000.00. <br />WHEREFORE, in consideration of their mutual and respective promises, and <br />subject to the terms and conditions of said Agreement as amended, the parties hereby <br />agree as follows: <br />1. The compensation for the Agreement shall be increased by an additional <br />$60,000.00 to pay for database subscription services and maintenance, during <br />the term of said Agreement. The total amount to be expended pursuant to said <br />Agreement shall not exceed $320,000.00 during the term of said Agreement. <br />2. Said subscription services and maintenance shall include telephone support, <br />licensed sofrware updates and enhancements, staff training, online access to <br />cataloging resources and content databases and other services as required to <br />utilize the system. <br />3. Except as hereinabove modified, the terms and conditions of said Agreement <br />shall remain in full force and effect. <br />
