10. Site Visits 10.1 Site Rules 10.2 Scheduling 10.3 Facilities 10.4 Insurance CONSULTING SERVICES PROVISIONS During any time in which a party's personnel are present at the other party's site, the party will cause such personnel to abide by all reasonable safety and/or security rules of which the other party advises them in advance, provided such rules do not require drug, alcohol, or psychological testing or random security searches. Each party agrees to provide the other party with written copies of all such rules upon request. Unless the SOW provides otherwise, you must arrange with us to schedule the perfonnance of all Services within 90 days after the effective date of the SOW, otherv.rise we will not be obligated to perform the Services (except that if you attempt to make such arrangements with us but we are un- able to perform the Services within such 90~day period, then such period will be extended as rea~ sonably necessary, not to exceed an additional 90 days). If and to the extent that Services are to be perfonned at your site: a) You will provide such workspace and other facilities and resources that we may reasonably re- quire to perfonn the Services, and you will cooperate with us and take all actions reasonably neces- sary or appropriate to permit us to pcrfonn the Services in an effective and efficient manner. b) The specific timing of our site visit will he as you reasonably determine, in consultation with us to ensure availability of our personnel. (See also Section 10.2 concerning scheduling.) a) During any time in which our personnel are on-site at your location, we will maintain, at our ex- pense, the following types ofinsurance?O (1) Worker's compensation Statutory limits. Ifwe are self~insured, we will provide you with a copy of a current self-insured certificate upon your written request (2) Employer's liability Limits of not less than $500,000 per occurrence. (3) Commercial general liability ("CGL") Limits of not less than $1,000,000 combined single limit. (4) Business auto liability Limits of not less than $1,000,000 per occurrence. (5) Errors & omissions I profes~ siona/liability Limits of not less than $5,000,000. b) During any time in which we are obligated by this paragraph to maintain insurance coverage, upon your written request, we will provide you with a certificate of insurance evidencing that such coverage is in effect.
