IN`~,;,tiJ;E ~~( ON FILE - A-2oo5-26s <br />W~,i(~ MAY NDT PROCEED ~ <br />CLERK OF COUNCIL ECOND AMENDMENT TO AGREEMENT <br />DAr~: ~~- ~,- of <br />THIS SECOND AMENDMENT TO AGREEMENT made and entered into this 7`h day <br />of November 2005, by and between TSCM Corporation ("Contractor"), and the City of <br />Santa Ana, a municipal corporation of the State of California ("City"). <br />RECITALS <br />A. The City and Contractor entered into Agreement A-2004-023, dated February <br />2, 2004, hereinafter referred to as "said Agreement", in which Contractor <br />agreed to perform steam cleaning pressure washing of sidewalks in downtown <br />Santa Ana. <br />B. The parties now desire to extend said Agreement for an additional twelve- <br />month term, increase the downtown area which will be included for steam <br />cleaning and increase the compensation to pay for the services during the <br />extended term. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />hereinafter contained and made, and subject to all the terms and conditions of said <br />Agreement, as hereby amended, the parties hereto do hereby agree as follows: <br />Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced <br />with the following: <br />"1.a. Consultant shall perform those street sweeping and sidewalk cleaning <br />services as set forth in Exhibit A-1, attached hereto." <br />2. Section 2.a, COMPENSATION, shall be deleted in its entirety and replaced with <br />the following: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its <br />regular sidewalk steam-cleaning services, $770.00 par working night, five (5) <br />nights per week, 52 weeks per year. Contractor shall clean the colored sidewalks <br />installed as part of the South Main Street Enhancement project, three (3) times per <br />year for an annual sum of $20,000.00. The total sum to be expended under this <br />Agreement shall not exceed $260,000.00, during the term from November 9, 2005 <br />through January 31, 2007." <br />2. Section 3, TERM, shall be amended to extend the termination date from January <br />31, 2006 through January 31, 2007. <br />
