INSURANCE ~ ON Fil€ <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE OCT 1 8 20D~ <br />A-2005-233 <br />THIRD AMENDMENT TO <br />p p~~ (~~ AGREEMENT <br />Fistr~- <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into this ~O _~day <br />of September 2005, by and between Tyco Symplex/Grinnell ("Consultant") and the City <br />of Santa Ana, a charter city and municipal corporation of the State of California ("City"). <br />Recitals: <br />A. The parties entered into Agreement A-2003-189, dated September 10, 2003, <br />(hereinafter "said Agreement") by which Consultant has provided maintenance and <br />service for the electronic door access systems in both the Santa Ana Police <br />Administration Building and the Detention Facility. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend said Agreement to provide for the an additional year of hardware and software <br />maintenance. <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this Second <br />Amendment to Agreement, the parties agree as follows: <br />1. Section Z., COMPENSATION, shall be amended to increase compensation <br />$17,500.00 to pay for one year of software and hardware maintenance. <br />2. Section 3, TERM, shall be amended to extend the termination date from October 1, <br />2005 to October 1, 2006. <br />3. <br />4. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />TN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to <br />Agreement on the date and year first written above. <br />ATTEST: <br />~ ~~ <br />PATRICIA E.
