Whaley ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS; A. The parties entered into Agreement A-2005-041, dated March 1, 2005, (hereinafter "said Agreement") by which Consultant has human resources and payroll consulting services. $. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period and to increase the compensation to pay for services during the extended term.. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall perform those services as set forth in Exhibit A-1, attached hereto. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail." 2. Section 2.a, COMPENSATION, shall be deleted in its entirety and replaced with the following "City agrees to pay, and Consultant agrees to accept as total payment for her services, the rates and charges identified in Exhibit A. The total sum to be expended under this Agreement shall not exceed $120,000 during the term running from December 1, 2005 through December 31, 2006." 3. Section 3, TERM, shall be amended to extend the termination date from November 30, 2005 through December 31, 2006..
