<br />Section 2.05. Exchange of Bonds. Bonds may be exchanged at the main office
<br />of the Servicing Agent in Irvine, California, for a like aggregate principal amount
<br />of Bonds of other authorized denominations. The Servicing Agent, on behalf of the
<br />Authority, may charge a sum to the Bond Owner requesting such exchange for each new
<br />Bond issued upon any exchange in an amount not to exceed the actual costs of the
<br />Authority and the Servicing Agent therefor, and the Servicing Agent, on behalf of
<br />the Authority, shall require the payment by the Bond Owner requesting such exchange
<br />of any tax or other governmental charge required to be paid with respect to such
<br />exchange.

<br />Section 2.06. Bond Register. The Authority will keep or cause to be kept,
<br />at the main office of the Servicing Agent in Irvine, California, sufficient records
<br />of the registration and transfer of the Bonds, which shall at all times be open to
<br />inspection by the Authority; and, upon presentation for such purpose, the Authority
<br />shall, under such reasonable regulations as it or the Servicing Agent may
<br />prescribe, register or transfer or cause to be registered or transferred, on said
<br />books, Bonds as hereinbefore provided. The Servicing Agent is hereby appointed the
<br />agent of the Authority for such registration or transfer of the Bonds.

<br />Section 2.07. Form of Bonds. The Bonds shall be substantially in the form
<br />set forth in Exhibit B attached hereto and by this reference incorporated herein.

<br />Section 2.08. Bonds Mutilated, Lost, Destroyed or Stolen. If any Bond
<br />shall become mutilated, the Authority, at the expense of the Owner of said Bond,
<br />shall execute, and the Servicing Agent shall thereupon authenticate, if necessary,
<br />and deliver a new Bond of like tenor and number in exchange in substitution for the
<br />Bond so mutilated, but only upon surrender to the Servicing Agent for cancellation
<br />of the Bond so mutilated. Every mutilated Bond so surrendered to the Servicing
<br />Agent shall be cancelled by the Servicing Agent and delivered to, or upon the order
<br />of, the Authority. If any Bond shall be lost, destroyed or stolen, evidence of such
<br />loss, destruction or theft may be submitted to the Authority and the Servicing
<br />Agent, and if such evidence shall be satisfactory to both and indemnity
<br />sa tis factory to them sha 11 be gi ven the Authori ty, then the Authori ty, at the
<br />expense of the Owner, shall execute, and the Servicing Agent shall thereupon
<br />authenticate, if necessary, and deliver, a new Bond of like tenor and number in
<br />lieu of and in substitution for the Bond so lost, destroyed or stolen. The
<br />Authority may require payment of a sum not exceeding the actual cost of the
<br />Authority and the Servicing Agent in preparing each new Bond issued under this
<br />Section and of the expenses which may be incurred by the Authority and the
<br />Servicing Agent in furtherance of provisions of this Section. Any Bond issued
<br />under the provisions of this Section in lieu of any Bond alleged to be lost,
<br />destroyed or stolen shall constitute an original additional contractual obligation
<br />on the pa rt of the Authority whether or not the Bond so alleged to be lost,
<br />destroyed or stolen be at any time enforceable by anyone, and shall be equally and
<br />proportionately entitled to the benefits of the General Resolution and this
<br />Resolution with all other Bonds authorized to be issued by the General Resolution
<br />and this Resolution.

<br />Section 2.09. Temporary Bonds. Until the Bonds in definitive form are
<br />ready for deli very, the Authori ty may execute, and upon the request of the
<br />Authority, the Servicing Agent shall authenticate and deliver, subject to the
