<br />RESOLUTION NO. 95-001 -IDA <br />PAGE 2 <br /> <br />Executive Director upon consultation with Bond Counsel, including such additions or changes <br />as are necessary or advisable in accordance with Section 5 hereof, the approval of such <br />additions or changes to be conclusively evidenced by the execution and delivery of the <br />Remarketing Agreement by the Executive Director. <br /> <br />4. The remarketing memorandum describing the Bonds to be remarketed (the <br />"Remarketing Memorandum"), in the form presented to the Authority at this meeting, is hereby <br />approved. The Executive Director of the Authority is hereby authorized and directed, if <br />required, to execute and deliver the Remarketing Memorandum in said form, together with such <br />additions thereto or changes therein as are approved by the Executive Director upon <br />consultation with Bond Counsel, the approval of such additions or changes to be conclusively <br />evidenced by the execution and delivery of the Remarketing Memorandum by the Executive <br />Director. <br /> <br />The Remarketing Agent is hereby authorized to distribute copies of the Remarketing <br />Memorandum to persons who may be interested in the purchase of the Bonds and is directed to <br />deliver such copies to all actual purchasers of the Bonds. Distribution by the Remarketing <br />Agent of a preliminary remarketing memorandum describing the Bonds is hereby approved and <br />authorized. <br /> <br />The Executive Director is hereby authorized to execute a certificate or certificates to the <br />effect that the Remarketing Memorandum and such preliminary remarketing memorandum were <br />deemed "final" as of their respective dates for purposes of Rule 15c2-12 of the Securities <br />Exchange Act of 1934, and is authorized to so deem such statements final. <br /> <br />...", <br /> <br />4 <br />I <br />f <br />..J <br /> <br />5. The remarketed Bonds, when executed, shall be delivered to the Trustee for <br />authentication.
