�P <br />.,,,,, RANi�L AHLE <br />WORK k,. i rr(OCEED <br />UNL ovSURANCE EXPIRES <br />31�1D � <br />CLERK Of COUNCIL <br />DATE: <br />CONSULTANT AGREEMENT <br />A-2005-301 <br />THIS AGREEMENT, made and entered into this 19`h day of December, 2005 by and <br />between Parking Design Group, LLP, a Limited Liability Partnership (hereinafter "Consultant"), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />parking facility operations. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide consulting services to assist city staff in accomplishing the <br />Downtown Parking Structure Automation Project. In Phase One, an operations review of the four <br />parking structures will be performed with a cost/benefit analysis for replacing the existing <br />equipment with a state-of-the-art system, as set forth in Consultant's Proposal dated August 31, <br />2005, attached hereto as Exhibit A-1 and incorporated by reference. In Phase Two, a Request for <br />Proposals package will be developed and sent out to parking management companies as set forth <br />in Consultant's Proposal dated February 4, 2005, attached hereto as Exhibit A-2 and <br />incorporated by reference. In Phase Three, specifications and drawings will be produced for the <br />successful bidder to install the automated parking control system in the four garages, as set forth <br />in Exhibit A-2. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, a <br />fee of $72,600.00. <br />
