City of Santa Ana will be invoiced every two weeks or upon percentage <br />of completion of each of the design service packages (if applicable), <br />whichever comes first. <br /> <br />4. The total invoice will be due and payable upon receipt, unless other <br />arrangements have been made, in writing, between City of Santa Ana <br />and Landscape Irrigation Consulting. <br /> <br />D. Professional Liability: <br /> <br />1. City of Santa Ana agrees to limit Landscape Irrigation Consultant's <br />liability to City of Santa Ana and all contractor's and subcontractor's on <br />the project, due to professional negligent acts, errors or omissions of <br />Landscape Irrigation Consulting to the amount of Landscape Irrigation <br />Consultant's fee. <br /> <br />2. Landscape Irrigation Consulting makes no representation concerning soil <br />conditions unless specifically included in writing in this agreement, and III <br />not responsible for any liability that may arise out of the making or failure <br />to make soil surveys, or sub-surface soil tests, or general soil testing. <br /> <br />E. Disputes: <br /> <br />1. Should any dispute or claim arising under this Agreement result in legal <br />action, the prevailing party shall receive reasonable attorney's fees and <br />court costs from the other party. <br /> <br />F.
