The City desires to retain a consultant having special skill and knowledge in the field of
bill review analysis and audit services to assist the City's Self-Funded Workers'
Compensation Program

B. Consultant represents that Consultant is able and willing to provide such services to the
City.

C. In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.

NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:

1. SCOPE OF SERVICES

Consultant shall provide a comprehensive medical bill analysis and cost containment
service, utilizing a four-tier Preferred Provider Organization (PPO) system. Of the four PPOs
pre-selected by the City, if the pre-designated primary PPO offers no discount, Provider's system
will check with the remaining three (3) PPOs until a discount is applied, Reduction to Fee
Schedule will apply when PPO reduction is not applicable, or when it offers the best savings to
the City, after the fees are factored. Consultant's services under this Agreement are further
detailed in Consultant's response to City's selection process questionnaire dated April 28, 2000
(Exhibit A hereto), and Consultant's response to the City's second selection process dated May
26, 2000 (Exhibit B hereto),

2. The PPO fee shall be twenty percent
(20%) of the saving reduction. Said rates shall continue and remain in effect for a period of not
less than thirty-six (36) months from the effective date of this Agreement. Thereafter, the
Executive Director of Personnel Services may approve in writing annual increases not to exceed
five percent (5%) of the then current rates upon thirty (30) days prior written notice to City.
