3. Agency Fee and Expenses - The fee to be paid by District for the services and materials to be supplied hereunder is: $2.00 per student contract hour, not to exceed 10.000 student contract hours. The Agency shall invoice the District quarterly, supplying mutually acceptable documentation of student contact hours during the quarter. 4. The Agency shall indemnify, defend and save the District, its officers, agents, and employees hanll1ess from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, laborers and any other persons, firms, or corporations furnishing or supplying work, services, materiais or supplies who may be damaged or injured by the Agency in the performance of this Agreement, and from any and all claims and losses accruing or resulting y to any person, firm or corporation who may be injured.or damaged by the Agency in the ,. I performance of this Agreement. The Agency shall provide necessafy worker's compensation i, insurance for its employees at Agency's own cost and expense. 5. The District shall indemnify, defend and save the Agency, its officers, agents ana employees harmless from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, laborers and any other persons, firms, or corporations furnishing or supplying work, services, materials or supplies who may be injured or damaged by the District in the perfonnance of this Agreement, and from any and all claims and losses accruing or resulting to any person, finn or corporation who may be injured or damaged by the District in the perfonnance of this Agreement. This District shall provide necessary worker's compensation insurance for it's employees at District's own cost and expense.
