("f rCMJ.~ THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 30, 2005, by and between American Rotary Broom ("Contractor") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement #A-2005-043, dated January 1,2005, (hereinafter "said Agreement") by which Contractor has provided street sweeper broom replacement and maintenance services. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term for an additional six-month period and to add compensation. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Contractor shall perform those services as set forth in Exhibit A, attached to this First Amendment to Agreement." 2. Section 2.a., COMPENSATION, shall be amended to add $10,000. Said section will be deleted in its entirety and replaced with the following: "City agrees to pay, and Contractor agrees to accept as total payment for its services, the prices listed in Exhibit B, attached to this First Amendment to Agreement. The total sum to be expended under said Agreement shall not exceed $92,000.00 during the term of said Agreement." 3. Section 3, TERM, of said Agreement, shall be amended to extend the termination date from December 31, 2005 though June 30, 2006. 4. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect.
