<br />7. Recovery and Fees and Costs. In the event of any litigation, controversy, claim or <br />dispute between the parties hereto, arising out of or relating to this Agreement or the breach <br />hereof, the prevailing party or parties shall be entitled to recover from the other party or parties <br />reasonable expenses, in addition to such other relief as may be granted, attorneys' fees and costs. <br /> <br />8. Authority. In addition to any representation and warranties set forth in the <br />Purchase Agreement, Assignor and Assignee each hereby represent and warrant that they have <br />the right, power, legal capacity and authority to enter into and execute this Agreement. <br /> <br />9. Further Assurances. Assignor and Assignee each hereby agree to execute such <br />other documents and perform such other acts as may be necessary or desirable to effectuate this <br />Assignment. <br /> <br />10. <br />California. <br /> <br />Governing Law. This Agreement shall be governed by the law of the State of <br /> <br />II. Effectiveness.
