<br />, <br />. <br /> <br />A-2005-291 <br /> <br />s <br /> <br />COpy <br /> <br />RECORDING REQUESTED BY <br /> <br />AND WHEN RECORDED RETURN TO: <br /> <br />Omnipoint Communications Inc., <br />a subsidiary ofT-Mobile USA Inc. <br />3 Imperial Promenade, # 1100 <br />Santa Ana, CA 92707 <br />Attn: Lease Administration Manager <br /> <br />MEMORANDUM OF LAND LEASE AGREEMENT <br /> <br />TillS MEMORANDUM OF LAND LEASE AGREEMENT is made and entered into as <br />of December 5, 2005, by and between City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("Lessor") and Omnipoint Communications Inc., a subsidiary of T-Mobile USA, Inc., a <br />Delaware corporation ("Lessee"). <br /> <br />WITNESSETH: <br /> <br />That Lessor hereby leases to Lessee and Lessee hereby leases from Lessor a portion of <br />that certain real property (the "Property") in the State of California, County of Orange, City of <br />Santa Ana commonly known as Jerome Park, 888 West Santa Ana Blvd., Santa Ana, CA, 92702, <br />a legal description of which is shown in Exhibit A attached hereto and incorporated herein by <br />reference, under the terms and conditions of the unrecorded Land Lease Agreement by and <br />between Lessor and Lessee dated by Lessor December 5, 2005, and incorporated herein by <br />reference (the "Agreement") for an initial term of ten (10) years, commencing on the <br />Commencement Date, as defined in the Agreement, and three (3) subsequent optional extension <br />terms of five (5) years each, pursuant to the terms of the Agreement.
