THIRD AMENDMENT TO AGREEMENT ~ DATE; =~ ~`1~aL~ Chi i~~~~ THIS THIRD AMENDMENT TO AGREEMENT made and entered into this 6th day of February 2006, by and between TSCM Corporation ("Contractor"), and the City of Santa Ana, a municipal corporation of the State of California ("City"). RECITALS A. The City and Contractor entered into Agreement A-2004-023, dated February 2, 2004, hereinafter referred to as "said Agreement", in which Contractor agreed to perform steam cleaning pressure washing of sidewalks in downtown Santa Ana. B. The parties now desire to extend said Agreement for an additional twelve- month term, amend the Scope of Services and increase the compensation to pay for the services during the extended term. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all the terms and conditions of said Agreement, as hereby amended, the parties hereto do hereby agree as follows: Section 1, SCOPE OF SERVICES, shall be amended to add a paragraph l.b., which will read in full, as follows: "l.b. Contractor shall provide sweeping services and steam cleaning of the sidewalks at the Santa Ana Transportation Depot, as set forth in Exhibit A-1, attached hereto." Section 2.a, COMPENSATION, shall be amended to increase total compensation by $50,000 for a total not to exceed amount of $310,000.00 during the term from January 31, 2006 through December 31, 2006. Said compensation shall be allocated as follows: Downtown -Main Arterials $120,000 Downtown -Secondary Streets 130,000 South Main Corridor 20,000 The Depot- Steam Cleaning 24,000 The Depot - Sweeping 16,000 Section 3, TERM, shall be amended to read, in full, as follows:
