Section 7.1, "License Fees and Payments," of said Agreement is hereby amended to read as <br />follows: <br /> <br />7.1 License Fees and Pavrnents. <br /> <br />(a) In consideration of the license rights granted in Section 3 above, Licensee shall pay <br />annual license fees for the Licensed Products as set forth in Exhibit "A", plus all applicable <br />taxes. The Licensed Products License Fees for both initial delivery and subsequent <br />maintenance updates shall be invoiced annually at the beginning of each contract year. <br />Licensee shall be invoiced for all Licensed Products in-full upon delivery and Licensee will <br />pay the invoiced amount to DMP in full within sixty (60) days from date of invoice. <br /> <br />(b) DMP's obligation for providing digital orthophotography (2 foot pixel) for years 1999, <br />2000 and 2001 shall be exchanged for Option 3 listed on Exhibit "B" attached hereto. The <br />additional fee for Option 3 shall be invoiced 50% ($63,437.50) upon option initiation with <br />progress billings not to exceed $103,985.00 before June 30, 2000. The remaining balance of <br />$22,890.00 shall be invoiced after June 30, 2000 unless funds can be made available sooner <br />at the Licensee's discretion. Ownership of the digital orthophotography shall be with <br />Licensee, allowing DMP non-exclusive rights of distribution in exchange for 50% royalty. <br /> <br />D. As amended hereby, all of the terms, covenants and conditions of said Agreement shall remain <br />in full force and effect, and the parties shall continue to benefit from and be bound thereby. <br /> <br />2 <br />
