A-2006-074 SECOND AMENDMENT TO AGREEMENT THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered into this 3r$... day of A.p.--i l ,2006, by and between Able Building Maintenance Company, a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Agreement A-2003-225, dated November 3, 2003. (hereinafter "said Agreement") by which Consultant has provided janitorial services for the Santa Ana Police Department, Jail Facility and grounds. B. In accordance with the terms and conditions of said Agreement, the parties wish to exercise the option to extend the term for an additional one-year period and to increase compensation to pay for services during the extended term. Wherefore, in consideration of the covenants contained in said Agreement, and subject To all the terms and conditions of said Agreement, except those amended in this Second Amendment to Consultant Agreement, the parties agree as follows: I. Section 2.a, COMPENSATION, shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A-2, attached to this Second Amendment to Agreement. Compensation to be paid for services performed pursuant to said Agreement shall not exceed $400,000.00 during the term from December I, 2005 through November 30, 2006. Total compensation to be expended under this Agreement shall not exceed $],107,000.00 during the term of said Agreement." 2. Section 3, TERM, shall be amended to extend the termination date from September 3 I, 2006 through November 30, 2006. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall Remain in full force and effect. II II II II II
