<br />. <br /> <br />. <br /> <br />A-2006-074 <br /> <br />SECOND AMENDMENT TO AGREEMENT <br /> <br />THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered into this <br />3r$... day of A.p.--i l ,2006, by and between Able Building Maintenance Company, <br />a California corporation ("Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation of the State of California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement A-2003-225, dated November 3, 2003. <br />(hereinafter "said Agreement") by which Consultant has provided janitorial services <br />for the Santa Ana Police Department, Jail Facility and grounds. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />exercise the option to extend the term for an additional one-year period and to increase <br />compensation to pay for services during the extended term. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />To all the terms and conditions of said Agreement, except those amended in this Second <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />I. Section 2.a, COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A-2, attached to this Second Amendment to <br />Agreement. Compensation to be paid for services performed pursuant to said Agreement <br />shall not exceed $400,000.00 during the term from December I, 2005 through November <br />30, 2006. Total compensation to be expended under this Agreement shall not exceed <br />$],107,000.00 during the term of said Agreement." <br /> <br />2. Section 3, TERM, shall be amended to extend the termination date from September 3 I, <br />2006 through November 30, 2006. <br /> <br />3.
