<br />~~ilh <br /> <br />^i - .2002- / d-k W-, <br /> <br />SECOND AMENDMENT TO AGREEMENT <br /> <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on June 30, <br />2005, by and between Hygiene Technologies International, Inc., a California corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br /> <br />RECITALS: <br /> <br />A. The parties entered into Agreement No. N-2002-122 dated August 12,2002, <br />(hereinafter "said Agreement") by which Consultant has provided industrial hygiene <br />testing. <br /> <br />B. The parties executed a First Amendment to Agreement A-2003-013, dated January <br />21, 2003, to increase the Scope of Services and Compensation. <br /> <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Agreement. <br /> <br />WHEREFORE, in consideration ofthe covenants contained in said Agreement, as <br />amended, and subject to all the terms and conditions of said Agreement, except those <br />amended in this Second Amendment to Agreement, the parties agree as follows: <br /> <br />I. Paragraph 3, TERM, shall be amended to extend the termination date of said <br />Agreement from June 30, 2005 through June 30, 2006. <br /> <br />2. Except as amended in this Second Amendment to Agreement, all terms and <br />conditions of said Agreement, as previously amended, shall remain in full force and <br />effect. <br /> <br />IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to <br />Agreement on the date and year first written above. <br /> <br />APPROVED AS TO FORM: <br /> <br />CITY OF SANTA ANA <br /> <br />-, I <br /> <br />f, ;b~~p~ (~.
