<br />A-';'?OO3-,;fu,j-C.:L <br /> <br />INSURANCE .110.1 ON filE. <br />WORK, MAY 1'ill1 PROCEED <br />CLERK OF COUNCil <br />DATE: 5 - 0l4~DI€ <br /> <br />AMENDMENT TO AGREEMENT <br /> <br />Ll) <br />0: vM~ " <br />U^' (9H1~1 <br /> <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into on April 3, <br />2006, by and between Otis Elevator Company, a New Jersey corporation ("Consultant") <br />and the City of Santa Ana, a charter city and municipal corporation of the State of <br />California ("City"). <br /> <br />RECITALS: <br /> <br />A. The parties entered into Agreement A-2003-268, dated January 27, 2004, (hereinafter <br />"said Agreement") by which Consultant has provided elevator repair for the City. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional one-year period. <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Third Amendment to Agreement, the parties agree as follows: <br /> <br />I. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for those <br />services set forth in Exhibit A to said Agreement, $46,980.00. The parties have agreed <br />that Emergency Repairs in the amount of $5,000 may be required during the extended <br />term of said Agreement. The total sum to be spent on services provided by Consultant <br />during the 2006 calendar year shall not exceed $51,980.00." <br /> <br />2. Section 3, TERM, shall be amended to extend the term of said Agreement for one <br />additional year, through December 31, 2006. <br /> <br />3.
