<br />1 <br />. <br /> <br />18. <br /> <br />For a period of three years after fmal delivery hereunder or until all claims related to this <br /> <br />2 Agreement are finally settled, whichever is later, SUBGRANTEE shaIl preserve and maintain all <br /> <br />3 documents, papers and records relevant to the services provided, equipment acquired or training <br /> <br />4 received in accordance with this Agreement, including the Attachments hereto. With respect to training, <br /> <br /> <br />5 such documents, papers and records shaIl include those relevant to the training costs, overtime, backfiIl, <br /> <br />6 travel costs and per diem expenses. For the same time period, SUB GRANTEE shaIl make said <br /> <br /> <br />7 documents, papers and records available to CITY and the agency from which CITY received grant funds <br /> <br />9 off the premises of SUB GRANTEE, upon request during usual working hours. <br /> <br />8 or their duly authorized representative( s), for examination, copying, or mechanical reproduction on or <br /> <br />10 <br /> <br />19. <br /> <br />SUB GRANTEE shaIl provide to CITY all records and information requested by CITY <br /> <br />11 for inclusion in quarterly reports and such other reports or records as CITY may be required to provide <br />12 to the agency from which CITY received grant funds or other persons or agencies. <br /> <br />13 <br /> <br />20. <br /> <br />CITY may terminate this Agreement and be relieved of the delivery of any consideration <br /> <br />14 to SUB GRANTEE if a) SUBGRANTEE fails to perform any of the covenants contained in this <br /> <br /> <br />15 Agreement, including the Attachments hereto, at the time and in the manner herein provided, or b) CITY <br /> <br /> <br />16 loses funding under the grant. <br /> <br />17 <br /> <br />21. <br /> <br />SUBGRANTEE and its agents and employees shaIl act in an independent capacity in the <br /> <br />18 performance of this Agreement, including the Attachments hereto, and shaIl not be considered officers, <br /> <br /> <br />19 agents or employees of CITY or of the agency from which CITY received grant funds. <br /> <br />20 <br /> <br />22. <br /> <br />SUBGRANTEE and its officers, agents, employees shaIl abide by all applicable federal, <br /> <br />21 State and local laws, including all applicable statutes, regulations, executive orders and ordinances. <br /> <br />22 <br /> <br />23. <br /> <br />Confidential Information - Any reports, information, data, etc., given to or prepared or <br /> <br />23 assembled by the SUBGRANTEE under this agreement which the CITY requests to be kept confidential <br /> <br /> <br />24 shall not be made available to any individual or organization by the SUB GRANTEE without the prior <br /> <br /> <br />25 written approval of the CITY. <br /> <br />26 <br /> <br />24. <br /> <br />Discrimination - The SUBGRANTEE will not discriminate against any employee or <br /> <br />28 SUB GRANTEE shaIl take affirmative action to ensure that applicants for employment, and the <br /> <br />27 applicant for employment because of race, color, religion, age, sex, national origin or handicap. The <br /> <br />4 <br />
