R�) THIS AMENDMENT, made and entered into this 5th day of June2006by and between the City of e5tg — Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City"), and Northrop Grumman Public Safety Inc. ("Consultant'). WHEREAS, PSI has merged with and into its parent company Northrop Grumman Information Technology, Inc. ("Consultant'); and RECITALS A. The City and the Consultant entered that certain agreement (A2004-119) commencing June 1, 2004, hereinafter referred to as "said Agreement', for Consultant to provide service and maintenance for Cyber MCT (Police Access) system software. B. The parties hereto now desire to extend the Term and increase Compensation terms of said Agreement in order to provide continuous uninterrupted services under the term of said Agreement WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. Section 2, referenced Exhibit "A" of said Agreement pertaining to Compensation shall be increased in an amount not to exceed $52,000.00. 2. Section 3, "Termination" of said Agreement shall be extended to terminate on May 31, 2007. 3. Except as hereinabove modified, the terms and conditions of said Agreement and all Exhibits thereto remain unchanged and in full force and effect.
