THIS FOURTH AMENDMENT TO AGREEMENT is entered into this 25`h day of April, 2006, by and between Vet Care Vaccination Services, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of Califomia ("City"). Recitals: A. The parties entered into Agreement #A-2001-102, dated May 7, 2001, (hereinafter "said Agreement") by which Consultant has provided low cost dog and cat vaccination clinics to serve City residents. B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of the Agreement, except those amended in this Fourth Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall conduct low cost dog and cat vaccination clinics for City residents at the times, dates and locations mutually agreed by the parties to this Agreement. The parties agree the no "implied professionalism", as that term is interpreted by regulatory agencies of the State of California, shall accrue to the City or any of its facilities or locations, from the conduct of said vaccination clinics ("Clinics"). Consultant shall perform all services at the rates and charges as set forth in Exhibit A- 1 to this Amendment to Agreement." 2. Section 4, TERM, shall be amended to read as follows: "This Agreement shall commence on May 7, 2001 and terminate on June 30, 2007, unless terminated earlier in accordance with Section 13, below. The term of this Agreement may be extended upon a writing executed by the Chief of Police and the City Attorney." // //
