consideration, or otherwise recover, the full <br />amount of such fee, commission, percentage, <br />brokerage fee, gift, or contingent fee. <br />7.13.19 Statement of Economic Interest. If City <br />determines Contractor comes within the definition <br />of Contractor under the Political Reform Act <br />(Government Code §87100), Contractor shall <br />complete and file and shall require any other <br />person doing work under this Agreement to <br />complete and file a "Statement of Economic <br />Interest" with the Clerk of the City of Santa Ana <br />disclosing Contractor and/or such other person's <br />financial interests. In such case, Contractor <br />shall not make or participate in making or in any <br />way attempt to use Contractor's position to <br />influence a governmental decision in which <br />Contractor knows, or has reason to know, <br />Contractor has a financial interest other than <br />the compensation promised by this Agreement. <br />Contractor represents that Contractor has <br />diligently conducted a search and inventory of <br />Contractor's economic interests, as defined in <br />the regulations promulgated by the Fair Political <br />Practices Commission, and has determined that <br />Contractor does not, to the best of Contractor's <br />knowledge, have an economic interest that would <br />conflict with Contractor's duties under this <br />Agreement. Contractor will immediately advise <br />the City Attorney if Contractor learns of an <br />economic interest of Contractor's during the term <br />of this Agreement. <br />7.13.20 Right to Adequate Assurance of Performance. Each <br />party to this Agreement undertakes the obligation <br />that the other's expectation of receiving due <br />performance will not be impaired. When <br />reasonable grounds for insecurity arises with <br />respect to the performance of either party, the <br />other may in writing demand adequate assurance of <br />due performance, and until it receives such <br />assurance, may, if reasonable, suspend any <br />performance for which the agreed return has not <br />been received. "Reasonable" includes not only <br />the conduct of a party with respect to other <br />agreements with parties to this Agreement or <br />others.
