for any additional costs associated with <br />obtaining such licenses and the costs and fees <br />associated with integration of such additional <br />Third-Party Software into the System. The City <br />shall have no right to the Source Code with <br />respect to any Third-Party Software. <br />2.5 Confidential Information. <br />2.5.1 City Confidential Information. All City <br />Confidential Information (as defined below) shall <br />be held in strict confidence by the Contractor, <br />and the Contractor shall not, without the City's <br />prior written consent, (a) disclose such <br />information to any person or entity other than to <br />the Contractor's employees or Contractors legally <br />bound to abide by the terms hereof and having a <br />need to know such information in connection with <br />the Contractor's performance of its obligations <br />hereunder, or (b) use such information other than <br />in connection with the performance of its <br />obligations hereunder. The term "City <br />Confidential Information" shall include all City <br />data and other written information of a <br />confidential nature. The Contractor understands <br />and agrees that the unauthorized use or <br />disclosure of City Confidential Information may <br />irreparably damage the City. In the event of the <br />Contractor's breach or threatened breach of any <br />of the provisions in this Section 2.5.1, the City <br />shall be entitled to an injunction obtained from <br />any court having appropriate jurisdiction <br />restraining the Contractor from any unauthorized <br />use or disclosure of any City Confidential <br />Information. <br />2.5.2 Abbey Group Confidential Information. All Abbey <br />Group Confidential Information (as defined below) <br />shall be held in strict confidence by the City, <br />and the City shall not, without the Contractor's <br />prior written consent, (a) disclose such <br />information to any person or entity other than to <br />the City's employees or Contractors legally bound <br />to abide by the terms hereof and having a need to <br />know such information in connection with the <br />City's performance of its obligations hereunder, <br />or (b) use such information other than in <br />connection with the performance of its <br />Primary Agreement Page 7 <br />
