INSURANCE N_QI ON FILE <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />A- 2006 -166 <br />DATE: 7- ;k6 -o <br />C3) <br />0 FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on July 3, 2006, <br />by and between Sapphire Technologies LLC, a Delaware corporation ( "Consultant ") and <br />the City of Santa Ana, a charter city and municipal corporation of the State of California <br />( "City "). <br />RECITALS: <br />A. The parties entered into Agreement N- 2006 -055 dated June 6, 2006, (hereinafter <br />said Agreement ") by which Consultant has provided information systems and <br />technology staffing services to the City's Fire Department. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the Scope of Services and increase compensation to provide for additional <br />services being performed by Consultant. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment to Agreement, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced to <br />read, in full, as follows: <br />"SAPPHIRE shall upon request of SAFD Project Manager, provide professional <br />information systems and technology staffing services for CITY including a) network <br />maintenance and support; b) desktop maintenance and support; c) train and provide <br />ongoing support to microcomputer users; d) networking and application software <br />related tasks; e) application software development projects; f) maintenance and <br />support for various database applications; and g) provide 24/7/365 on call services for <br />mission critical issues, as set forth in Consultant's Proposal dated June 19, 2006, on <br />file with the Santa Ana File Department and as more specifically described in Exhibit <br />A, attached hereto and incorporated by reference. <br />2. Section 2, COMPENSATION, shall be amended to increase compensation by <br />$390,000.00 for a total amount not to exceed $400,000.00 during the term of said <br />Agreement. Consultant shall continue to perform those services and accept payment <br />as set forth in Appendix A of said Agreement. <br />3. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />
