NWORANCE NOT ON FILE N-2004-062-01 <br />t'v,1{ (MAY NQI PROCEED <br />CLERK OF COUNCIL SECOND AMENDMENT TO AGREEMENT <br />DATE; 9 31-06 <br />O:FMB(k)(Muio Gbizi) <br />THIS SECOND AMENDMENT, made and entered into this 30"' day of June, 2006, by <br />and between Trane Inc, ("Consultant") and the City of Santa Ana, a charter city and municipal <br />corporation duly organized and existing under the Constitution and laws of the State of <br />California (`-City"), collectively referred to herein as "the Parties". <br />RECITALS: <br />A. T he Parties entered Agreement N-2004-062, dated July 1, 2004, hereinafter referred to as <br />"said Agreement", for the provision of maintenance, service, repair and parts for air <br />conditioning services; <br />B. 'fhe Parties hereto now desire to amend the Term of said Agreement and increase <br />compensation in order to provide continuous uninterrupted service under said <br />Agreement. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />hereinafter contained and made, and subject to all of the terms and conditions of said Agreement <br />as hereby amended, the parties hereto do hereby agree as follows: <br />1. Section 2.a.. COMPENSATION, shall he deleted in its entirety and replaced with the <br />following: <br />"a. City agrees to pay, and Consultant agrees to accept as total payment for its <br />services, the rates and charges identified in Exhibit A-1, attached hereto. The total sum <br />to be expended under this Agreement shall not exceed $10,000.00. annually, during the <br />term of this Agreement." <br />2. Section 3, TERM, of said Agreement is deleted in its entirety and replaced with the <br />following: <br />"The term of said Agreement shall commence on July 1, 2004 and continue through June 30, <br />2007. unless earlier terminated in accordance with Section 12, below. The term may be <br />extended for two additional one-year terms, at the rates and charges set forth in Exhibit A-1, <br />upon the written acceptance of the Executive Director of Finance and Management Services and <br />the City Attorney." <br />3. Except as hereinabove modified, the terms and conditions of said Agreement remain <br />unchanged and in full force and effect. <br />
