The "suit" against Ote irdemnitee seeks dam- <br />ages for which the Insured has assunmad the <br />lability of the indemnkee In a wntred or <br />agroemeM that IS en 9rtsured wnb'act"; <br />b. This insurance applies to such Ilablkty as- <br />sumed by the insured; <br />c. The obngation to defend, or the wst of the <br />defense of, that indemrtiee, has also been <br />assumed by the insured in the same 'insured <br />wntracl"; <br />d. The allegations in the "suit" and the irlforrtta- <br />tion we know about the "owurrarrce" are such <br />that no wnflid appears to exW between the <br />interests of the insured and the interests of <br />the indemn0ee; <br />e. The irdemnRee and the Ensured ask us to <br />wndurl and control the defense of that <tF <br />demnitee against such "suk" and .agree that <br />we can assign the same wunsel to defend <br />the Insured and the Mdemnitee; and <br />f. The indemnitee: <br />{1) Agrees in writing to: <br />{a) Cooperate wfah us in the investiga- <br />tion, settlement or defense of the <br />"suA"; <br />(b) Immedalely send us copies of arty <br />demands, notices, summonses or le- <br />gal papers received in wmedlon <br />with the "suit": <br />(c) Ndify any other insurer whose wv- <br />erage is available to the krderrufitee; <br />and <br />{d) Cooperate with us with rasped to w- <br />o-dinaiirg other appticel>ae insurance <br />available to the kldemnUee; and <br />(2) Provides us with written euttwrtzation to: <br />(a) Obtain records and other information <br />related to the "soft"; and <br />(b) Conduct and wrttroi the defense of <br />the indemnitee in such "soil". <br />So long as the above conditions are met, attor- <br />n~ys"fees incurred by us Gt the defense of that <br />irdernnilee, necessary litigation expenses in- <br />sured by us and necessary litigation expenses <br />incrxred by the Irdernru'tee at our roquest witi be- <br />pald es Supplementary Payments. Notwithstand- <br />ing Ne provisions of Paragraph 2b.(2) O( Section <br />I - Coverage A -Bodily Injury And Property <br />Damage LiabrTay, such peyrnents will not be <br />deemed to be damages for "bodily injury" and <br />"property damage" and will not reduce the YmHs <br />of insurance. <br />Our obfgation to defend an insured's indemntee <br />and to pay for altomeys" fees and necessary INi- <br />gMion expenses as Supplementary Peyrtwnts <br />ends when: <br />a. We have used up the applcable IimR of in- <br />surance in the payment of judgments or set- <br />tlements; or <br />b. The wnditions set forth above, ar the terms <br />of the agreement described in Paragraph f. <br />above, are no ranger met. <br />SECTION 8-WHO IS AN INSURED <br />1. ff you are designated in the Declarations as: <br />a. An individual, you end your spouse are insur- <br />eds, but onry wkh respell to the wndud of a <br />business o(which you are fhe sole owner. <br />b. A partnership or Joint venture, you are an in- <br />sured. Your members, your partners, and <br />their spouses are also insureds, but ony wkh <br />respell to the wndud of your business. <br />c. A knifed liability wrtffrarry, you are an in- <br />sured. Your members are also insureds, but <br />only with respect to the wndud of your busF <br />ness. Your managers are insureds, but ony <br />w7h respell to their duties as your managers. <br />d An organ-vsiion other than a partnership, joint <br />venture or limited liabiity tympany, you are <br />an insured. Your "execuWe officers" and dl- <br />redors are insureds, but only with rasped to <br />their duties as your officers or directors. Your <br />stockholders are also insureds, but only with <br />respect to their liahidy as stockhokiers- <br />e. A trust, You are an insured.
