SCOPE OF SERVICES <br />In providing goodwill loss appraisal services, DDA proposes to provide the following scope of <br />services: <br />o Meet with City or Public Works representatives to gain an understanding of the <br />scope of the project, and to facilitate coordination with team members; <br />o Perform site visits of the subject sites, potential relocation sites and/or actual <br />relocation sites; <br />o Interview owners and managers of the businesses; <br />C3 Review and analyze the businesses' historical financial statements and income <br />tax returns; <br />o Develop pro forma operating results for the businesses; <br />o Perform market research for the sale of comparable businesses; <br />o Perform industry research to determine the businesses' external influences; <br />o Review lease agreements and any other pertinent contracts; <br />o Review real estate and fixture and equipment appraisals; <br />In Coordinate with the real estate and fixture and equipment appraisers to avoid <br />duplication of compensation; <br />o Coordinate with the relocation consultant to determine the businesses' ability to <br />mitigate damages and to avoid duplication of compensation; <br />o Implement valuation methodology to determine goodwill value in the before <br />condition; <br />o Review all available data regarding relocation sites and/or other measures to <br />mitigate damages; <br />o Develop loss of goodwill estimates for the businesses; <br />o Prepare summary reports incorporating descriptions of the assignments and the <br />businesses being valued, the sources of information relied upon, the valuation <br />methodology employed, assumptions made in performing the analyses and the <br />conclusions. <br />DDA has completed hundreds of goodwill loss appraisals throughout the State of California and <br />has developed an extensive database of business valuation research in-house to utilize in <br />developing valuation methodology.
