INSURANCE M-1 ON FILE WORK MAY NOT PROCEED CLERK OF COUNCIL DATE: g._ 3v-c4, 0 0 A- 2005- 250 -01 FIRST AMENDMENT TO AGREEMENT BETWEEN THE CITY OF SANTA ANA AND GROUP 1 SOLUTIONS, INC. THIS FIRST AMENDMENT TO AGREEMENT is entered into on Au q Lis ( a % , 2006, by and between Group 1 Solutions, Inc., a Georgia core ation ( "Consultant ") and the City of Santa Ana, a charter city and municipal corporation of the State of California ( "City "). RECITALS: A. The parties entered into Agreement A- 2005 -250, dated November 4, 2005, (hereinafter "said Agreement ") by which Consultant agreed to provide computer software and interfaces for first responder mobile applications. B. The payment, acceptance, maintenance and warranty provisions of said Agreement anticipate payment, in full, prior to the development, implementation testing and acceptance of all the software components. C. The parties wish to amend the acceptance, maintenance and warranty provisions of said Agreement to provide adequate time to implement and test the full system prior to its acceptance by City. D. Additionally, the City desires to amend the Scope of Services to delete Data Conversion Services therefrom. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Exhibit A "Proposal to Provide Remote Access Software and Implementation Services ", shall be amended as follows: a. Section 2.5.1, "Installation ", shall be amended by adding a P paragraph which shall read as follows: " After Installation of all components of the system described in Group 1's Proposal, Group 1 shall demonstrate all interfaces, software and hardware to ensure that combined Remote Access, Mobile Data Computer, MeshTracker and Fit - Notes, systems operate as defined in Group 1 documentation as described in said Proposal. The parties acknowledge that the MeshTracker interface cannot be implemented until Motorola has developed the hardware, software and Software Developer Kit to run the MeshTracker software. Therefore the parties agree that Remote Access, Mobile Data Computer and Fit -Notes interfaces may be installed, tested and accepted prior to the installation of the MeshTracker system."
