PH/A (2) <br /> <br />~ <br /> <br />RIGHT OF ENTRY AGREEMENT <br /> <br />,. ,,[HIS RIGHT OF ENTRY AGREEMENT ("Agreement") is made and entered into as <br />of ~ day of August, 2006 by and between the CITY OF SANTA ANA, a charter city duly <br />organized under the Constitution and laws of the State of California (the "City"), and RANCHO <br />SANTI A..O COMMUITY COLLEGE DISTlUCT, a California Community College as <br />de1ined in the California Education Code ("Licensee"), with respect to the following: <br /> <br />RECITALS <br /> <br />A. The Licensee desires to enter onto the real property owned hy the City on the <br />corner of Borchard and Rristo\ Streets in the City of Sanla Ana, Calitornia, consisting of <br />approximately 33,562 square feet and known as Orange County Assessor's Parcel Number <br />109-266- ] 7 (hereafter "the Property"), to temporarily park staff and lacully or Licensee's Digital <br />Media Center, localed at ] 300 South Bristol in Santa Ana. <br /> <br />fl. The City currently authorizes staff and faculty of Mater Dei High School to use <br />this property for temporary overflow parking 011 certain days. <br /> <br />C. The City wishcs to accommodate the Licensee's desire to utilize the Property lor <br />temporary parking lot for staff and facully or Licensee's Digital Media Center by granting a non- <br />exclusive right of entry to Licensee upon certain terms and conditions, subject to the pre-existing <br />commitment to Mater Dei High School. <br /> <br />NOW, THEREFORE, for good and valuable consideration, Licensee and City do <br />hereby agree as fOllO\\/5: <br /> <br />L Right ufEntry. Provided that all of the terms and conditions of this Agreement <br />arc fully' satisfied, the City hereby grants to Licensee and its employees, agents and contractors <br />the nonexc.lusive, nonassignable, personal right to enter upon the Property for temporary parking <br />or slall and faculty of Digital Media Center, and for no other purposes. This Agreement shall <br />automatically terminate and expire November 30, 2006, unless earlier terminated pursuant to <br />terms and conditions herein. It is expressly understood that this Agreement does not in any way <br />whatsoever grant or convey any rights of possession, easement or other cognizable property <br />interest in the Property. <br /> <br />2. Agreement. Dy execution of this Agreement, Licensee agrees for itself and on <br />the behalf of its employees, agents, consultants and conlral:lors as follows: <br /> <br />(a) That Licensee \vill not permit any dangerous condition to be cn:aled un the <br /> <br />Property. <br /> <br />(b) All acts and things done by Licensee on the Property \vill bc done in a <br />careful and rcasonahle manner, in accordance with all Jederal, state and local laws. <br /> <br />(c) Licensee shall enter the Property entirely at its own cust, risk and expense. <br />
