TriTech Confidential Information and all <br />copies of any of the foregoing (in whatever <br />medium recorded)) and all Third Party <br />Products in its possession not yet accepted <br />and not yet paid for in full together with <br />all copies of documentation and other <br />material related thereto, and shall certify <br />in a written document signed by an authorized <br />officer of the City that all such information <br />and material has been returned; <br />(d) The City shall cause payments to be made to <br />the Contractor within thirty (30) days of <br />receipt of invoice for all outstanding <br />invoices submitted to the City up to the <br />effective date of the termination and for all <br />work performed up to the effective date of <br />the termination, as well as for other costs <br />incurred up to, or as a result of, the <br />termination (including without limitation all <br />cancellation, restocking or residual fees <br />resulting from the cancellation or return of <br />Third Party Products ordered from or shipped <br />by the vendor thereof prior to the effective <br />date of the termination) based upon the <br />percentage of work completed at the time of <br />termination and based upon the prices, <br />amounts and rates set forth in the Project <br />Deliverables and the Milestone Payment <br />Schedule; provided, however, that in no event <br />shall the amount of money paid under this <br />provision exceed the Contract Price; and <br />(e) All provisions of this Agreement that by <br />their nature would reasonably be expected to <br />continue after the termination of this <br />Agreement shall survive the termination of <br />this Agreement. <br />7.4 Laws to be Observed. All services to be performed by <br />Contractor pursuant to this Agreement shall be performed in <br />accordance with all applicable federal, state, county, and <br />municipal laws, including, but not limited to, the Americans <br />with Disabilities Act of 1990, as amended, and Section 504 <br />of the Rehabilitation Act of 1973, as amended, which <br />prohibits discrimination on the basis of handicap in <br />programs and activities receiving any federal or county <br />financial assistance. Such services shall also be performed <br />in accordance with all applicable ordinances and <br />regulations, including, but not limited to, appropriate <br />licensure, certification regulations, provisions pertaining <br />to confidentiality of records, and applicable quality <br />assurance regulations. <br />Primary Agreement Page 22 <br />
