appropriate schedules in connection with, the <br />Contractor's obligations hereunder. The <br />Contractor shall use its best efforts to maintain <br />the same Contractor Project Manager for the <br />duration of this Agreement. However, the <br />Contractor may change the individual designated <br />hereunder by providing the City with fifteen (15) <br />days advance written notice designating the new <br />individual authorized to act as the Contractor <br />Project Manager. Such advance notice shall not be <br />required in the event of termination, or death. <br />Notwithstanding the foregoing, the Contractor has <br />the right to appoint a temporary Contractor <br />Project Manager in connection with short-term <br />unavailability, sick leave or reasonable vacations <br />provided that it notifies the City in writing of <br />any such temporary appointments. <br />(b) Within three (3) days of the execution of this <br />Agreement, the City shall designate in writing a <br />single individual to act as the City's project <br />manager (the "City Project Manager"). The City <br />Project Manager shall ensure the City's compliance <br />with, and shall coordinate appropriate schedules <br />in connection with, the City's obligations <br />hereunder. The City shall use its best efforts to <br />maintain the same City Project Manager for the <br />duration of this Agreement. However, the City may <br />change the individual designated hereunder by <br />providing the Contractor with advance written <br />notice designating the new individual authorized <br />to act as the City Project Manager. <br />Notwithstanding the foregoing, the City has the <br />right to appoint a temporary City Project Manager <br />in connection with short-term unavailability, sick <br />leave or reasonable vacations provided that it <br />notifies the Contractor in writing of any such <br />temporary appointments. <br />(c) The Contractor Project Manager and the City <br />Project Manager shall be accessible by telephone <br />or by electronic pager throughout the duration of <br />this Agreement. Prior to cutover of the System, <br />the Contractor Project Manager shall be available <br />eight (8) hours per day five (5) days per week, <br />excluding holidays and weekends. From time to <br />time it may be necessary to adjust those hours to <br />support specific project goals and objectives. <br />Such adjustments shall be made as agreed to by <br />both parties. During any Reliability Testing <br />period described in the Statement of Work with <br />respect to any TriTech Application, the Contractor <br />Project Manager must be available on a twenty four <br />(24) hour basis, seven (7) days per week. <br />Primary Agreement Page 32 <br />
