Section 1542 of the Civil Code states as follows: <br /> <br />"A GENERAL RELEASE DOES NOT EXTEND TO <br />CLAIMS TO WHICH THE CREDITOR DOES NOT <br />KNOW OR SUSPECT TO EXIST IN HIS OR HER <br />FAVOR AT THE TIME OF EXECUTING THE <br />RELEASE, WHICH IF KNOWN BY HIM OR HER <br />MUST HAVE MATERIALLY AFFECTED HIS OR <br />HER SETTLEMENT WITH THE DEBTOR." <br /> <br />Each of the PARTIES being award of Section 1542, expressly waives any and all <br />rights each may have thereunder, except as to the representations, covenants, and <br />understandings contained in this Agreement. <br /> <br />12. The CITY shall prepare a Stipulation for Entry of Judgment and proposed <br />Stipulated Judgment and Final Order of Condemnation consistent with the terms of this <br />Agreement, subject to review and approval as to form by the WONGS' and TAQUERIA <br />TAPATIA's attorney of record in the ACTION. Upon the WONGS' and TAQUERIA <br />TAPATIA's attorney's approval as to form, the CITY may file the Stipulation and <br />Judgment in the ACTION and record the Final Order of Condemnation. <br /> <br />13. The PARTIES hereby represent and warrant that they have the authority to <br />enter into this Agreement and that they have not previously assigned, transferred, or <br />purported to have assigned or transferred in any manner, any of the claims described in <br />the above re1ease(s). <br /> <br />14. This Agreement shall be governed by and construed in accordance with the <br />laws of the State of California. <br /> <br />15. For purposes of venue and jurisdiction, this Agreement shall be deemed <br />made and to be performed in Orange County, State of California. <br /> <br />7 <br />
