D � Pry <br />A- 2006 -243 <br />CONSULTANT <br />THIS AGREEMENT, made and entered into this 5`h day of September, 2006 by and <br />between URS Corporation, a Nevada corporation (hereinafter "Consultant "), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California (hereinafter "City "). <br />RECITALS <br />A. The City of Santa Ana, in cooperation with the City of Anaheim, desires to conduct a <br />Homeland Security Exercise and Evaluation Program, collectively "Exercises ". <br />B. City, acting through the Santa Ana Police Department in its capacity as the Core City <br />for the Santa Ana Urban Area under the FY05 Urban Areas Security Initiative <br />( "UASI "), has applied for, received and accepted a grant from the federal Department <br />of Homeland Security, Office of Domestic Preparedness, through the State of <br />California, Office of Homeland Security, to enhance countywide emergency <br />preparedness, hereinafter referred to as "the Grant ". <br />C. Consultant represents that they have the necessary skills and experience to provide <br />assistance in designing, planning and conducting the Exercises. <br />D. Consultant has submitted a Proposal dated September 26, 2006, ( "the Proposal ") which <br />identifies the scope, tasks and general time lines for providing the services and the costs <br />thereof. <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Consultant shall design, plan and conduct Exercises for the City of Santa Ana and The <br />City of Anaheim, in accordance with Consultant's Proposal, attached hereto as Exhibit A, and <br />incorporated by reference. All services required hereunder shall conform in all respects to <br />standards for such Exercises issued by the U.S. Department of Homeland Security. The planning <br />meeting <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A.
