<br />INSURANCI: l '. <br />WORK MAY PFC:,LlU <br />UN ill iijSURr'.i:Cl EXPIRES <br />ID -::L:::.QJ <br />CJ:'Ri\OF COUNCIL <br />DATE: 10 '-lIp' ()(o <br /> <br />D' Pr<SC (d.) <br />, ..'~"L~ <br />u- ,-r1'W1'''1''- -. -' <br /> <br />A-2006-255 <br /> <br />AGREEMENT FOR INSTALLATION AND MAINTENANCE <br />OF SCOREBOARD AND MARQUEE <br /> <br />THIS AGREEMENT, made and entered into this 5th day of September, 2006 by <br />Daktronics, Inc, a South Dakota corporation (hereinafter "Contractor"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California (hereinafter "City"). <br /> <br />RECIT ALS <br /> <br />A. The City desires to retain a contractor having special skill and knowledge in the field of <br />design, installation and maintenance of electronic scoreboards and marquees, and the <br />sales of scoreboard sponsorship and commercial space to generate revenue. <br /> <br />B. Contractor represents that Contractor is able and willing to provide such services to the <br />City. <br /> <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1. SCOPE OF SERVICES <br /> <br />a. Contractor shall perform Scoreboard and Marquee design and installation services set <br />forth in City's Request for Proposals 06-091 -PRCSA, including Addendums I & 2, on file with <br />the Santa Ana Clerk of the Council and incorporated by reference; Contractor's Proposal, Dated <br />August 29, 2006, on file with the Santa Ana Clerk of the Council and incorporated by reference, <br />and Contractor's Specifications, attached hereto as Exhibit A. Equipment to be purchased and <br />installed by Contractor includes all equipment listed in Quote #227971 REV 03, attached as <br />Exhibit A-I. City will pay for Option I upgrade. Contractor will include, at its expense the <br />Option 2, Backlit Ad Panels. Delivery and risk of loss will transfer to City upon City's <br />acceptance of Scoreboard and Marquee. If any radio or electronic signals required to operate the <br />Scoreboard andlor Marquee interfere with cellular signals sent from towers located at or near the <br />Stadium, Contractor will work with City staff to resolve the interference. <br />All required training shall be completed prior to City's acceptance of the Scoreboard and <br />Marquee. <br /> <br />b. Contractor shall secure sponsors and install their logos on the scoreboard ad panels <br />and shall sell commercial spots for the scoreboard electronic screen. Contractor shall work with <br />the sponsors and commercial purchasers to develop logos and advertising to be displayed on the <br />
