However, SOCRadar or <br />subrecipient may set standards for situations where the financial interest is not substantial or a gift is an <br />unsolicited item of nominal value. SOCRadar's or subrecipient's standards of conduct must also provide for <br />disciplinary actions to be applied for violations by its employees, officers, agents, or board members. <br />2. If SOCRadar or subrecipient has a parent, affiliate, or subsidiary organization that is not a State, local <br />government, or Indian Tribe, SOCRadar or subrecipient must also maintain written standards of conduct <br />covering organizational conflicts of interest. Organizational conflicts of interest mean that because of <br />relationships with a parent company, affiliate, or subsidiary organization, SOCRadar or subrecipient is <br />unable or appears to be unable to be impartial in conducting a procurement action involving a related <br />organization. <br />13. INSURANCE <br />SOCRadar shall procure and maintain for the duration of the contract commercially reasonable insurance <br />coverage appropriate for its business and the services provided hereunder, including technology errors and <br />omissions insurance and cyber liability coverage. <br />MINIMUM SCOPE AND LIMIT OF INSURANCE <br />Coverage shall be at least as broad as: <br />1. Technology Professional Liability Errors and Omissions Insurance (E&O): appropriate to SOCRadar's profession <br />and work hereunder, with limits not less than $2,000,000 per occurrence and $2,000,000 aggregate. Coverage shall <br />be sufficiently broad to respond to the duties and obligations as is undertaken by SOCRadar in this agreement. <br />2. Workers' Compensation as required by the State of California, with statutory limits, and Employer's Liability <br />insurance with limits of no less than $1,000,000 per accident, policy, employee, for bodily injury or disease. <br />If SOCRadar maintains broader coverage and/or higher limits than the minimums shown above for any line of <br />coverage, Customer requires and shall be entitled to the broader coverage and/or the higher limits maintained by <br />SOCRadar. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage <br />shall be available to Customer. <br />1. SOCRadar shall provide reasonable notice to Customer of any cancellation, suspension, or material change in <br />required insurance coverage. <br />Self -Insured Retentions <br />SOCRadar shall disclose any self -insured retentions must to Customer upon reasonable request. Customer may <br />require SOCRadar to provide proof of ability to pay losses and related investigations, claim administration, and <br />defense expenses within the retention. <br />Acceptability of Insurers <br />Insurance is to be placed with insurers authorized to conduct business in the state of California with a current A.M. <br />Best rating of no less than A-:VII, or with other insurers that maintain financially sound ratings and are reasonably <br />acceptable to both parties. <br />Claims Made Policies <br />SOCRadar Cyber Intelligence Inc. <br />www.SOCRadar.io <br />
