THIS FOURTH AMENDMENT TO PURCHASE AGREEMENT is entered into this 28'" day of July 2006, by and between OPEX Corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. Tlle parties entered into Purchase Agreement No. A-200l-031 dated April 3, 2002, (hereinafter "said Agreement") by whicll Consultant sold to City, and has provided service and maintenance for an automated mail-opening machine. B. In accordance with the intent of the parties, the term of s:lid Agreement shall be extended for an additional one-year period. WHEREFORE, in consideration of the covenants contained m said Agreement, and subject to all the terms and conditions of said Agreement, as anlended, except those amended in this Fourth Amendment to Purchase Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to provide that Consultant shall service the equipment for an additional one-year term, from August 1, 2006 through July 31,2007, at a cost of$2,575.00 for all maintenance services provided during that one-year term. 2. Section 3, TERM, of said Agreement shall be amended to extend Consultant's obligation to maintain the ModelS! mail opening machine for an addiEional one-year period, from August 1,2006 through July 31, 2007. 3.
